What filings are covered by Compliance Guard?
Compliance Guard covers all filings required by the Secretary of State for your company’s state of formation.
What amendments are included?
With Compliance Guard, LegalNature will conduct one change per year to your business records on file with the Secretary of State. This could range from a change of address to an addition of a member or a change of business name.
Are my foreign registrations included?
No, your foreign entities are not included and will need their own Compliance Guard coverage. All your foreign registrations have their own compliance needs and will be evaluated separately.
What fees are not included?
Compliance Guard covers all your LegalNature fees to conduct your required filings and record changes. Any fees levied by the Secretary of State are not included. LegalNature will make you aware of these costs at the time of filing.
What is a Beneficial Ownership Information (BOI) Report?
Under the new Corporate Transparency Act, certain foreign companies are required to file a Beneficial Ownership Information Report that, among other things, identifies their non-US person beneficial owners with the Financial Crimes Enforcement Network (FinCEN). Beneficial owners are individuals who either exercise substantial control over the company or own or control at least 25% of the company's ownership interests. The goal is to help prevent and combat money laundering, terrorist financing, and other illicit activities.
